Just an FYI for you all.
$1100 and a few hours of chatting and writing and so on, my lawyer will have: gregfolkert.com, L.L.C. Will be a real entity. Full Tax-ID, Single Person LLC. Of which I am the only employee and owner. Henceforth, I am taking full responsibility for the bandwidth we have enjoyed via a partial payment for the past couple of years. Then the company I currently work for will also be re-imbursing me for a service being provided. I get to co-locate numerous machines there now.

I have some tricky things that really required
a good (and fully uptodate on Michigan and City of Wyoming) Lawyer.
Seems like there is a good deal to be a technology company in Wyoming, MI.
There was discussion of making Acepptable Use Agreement, Standard Terms and conditions etc...
Also, preparations for changing the business type, or having wholly owned by the parent but financially (and taxes based) separate entity.

Michigan corp. or Delaware?
Federal C corp. or sub-chapter S? But that's a separate step from incorporating.
I'm just curious.
I had an NC corp. It was a C corp. but perhaps should have been sub-chapter S. Doesn't make much difference when run at break-even, i. e. I was paid whatever it took for the corporation not to have a profit. It sucked to be a stockholder! :)

Michigan LLC.
Would have been a C-Corp with an S-Corp Election. That is IF I had gone with a corporation.
Limited Liability Company. Taxed at the LLP rate, but most of the advantages of an S-Corp. Much less complex, much more flexible.
