Not the company, the contract terms
UCITA's been passed in only a very few states, notably Maryland and Virginia, Virginia being the first (and home to AOL). The contract law being applied was Maryland law. This doesn't say much if anything about the parties involved.

Yes
The contract need only say it's governed by the laws of the state of Maryland. This is done all the time.
Also, since Maryland law offers little protection for stockholders rights, vast numbers of companies are set up as Maryland corporations.

I thougth that was the perfect Repo-State, considering ordinary humans as chattel (mostly) and Corps as - welcome pillagers?
Did Maryland supersede Delaware as lawyers' fav haven from quid pro quo?

No I think Delaware still leads.
When you're one of those tiny states you can walk across in an afternoon, you have to do something for income, and taxing steel mills is probably not practical. Maryland's just horning in on Deleware's business and passing UCITA is probably conciously part of that.
